Terms of Service
Version 2026-10-23
These terms are the agreement between you and us about Zhorvel. Please read them, especially the parts on your assistant acting for you, on payments and on resolving disputes by individual arbitration.
- The service. Lomray Software LLC, 7901 4th St N, Ste 300, St. Petersburg, FL 33702, USA ("we") hosts Zhorvel, a personal AI assistant you talk to in Telegram and in the Zhorvel app, which runs in your own space on our servers. Daily usage of the included model is limited. You may connect your own AI provider account; its use is governed by that provider's terms.
- Documents that are part of these terms. These terms include the Acceptable Use Policy, the Refund and Cancellation Policy, the AI and Autonomy Disclosure, the Call Recording and Telephony Notice and the Family and Shared Assistant Consent. The Privacy Policy and the Biometric and Voice Notice explain how we handle personal data. All of them are on our website and carry the same version date.
- Who can use it. You must be at least 18 years old and able to make a binding contract. Zhorvel is not for children or teenagers, and you may not let a person under 18 use your assistant or introduce them to it. You may not use the service if sanctions law forbids us to serve you.
- Account. You have an account you sign in to with any method you link, and you keep those methods and your devices secure. You accept these terms before you create an assistant, start a trial or make a payment, and again when a new version asks for your acceptance. One trial of 7 days per account, starting when you first start an assistant.
- Price and credits. $39.99 per 30 days for hosting, media processing and web access of the assistant, or less when your own AI account and keys serve it, as the pricing page shows; never less than $12.99. You pay with credits: prepaid service credits, one per US dollar at purchase, that you add in your account in a browser. Credits are usable only for this service, cannot be transferred, carry no interest or cash value and do not expire. Credits are not a deposit, a bank account or electronic money. While your plan is on, its price is taken from your credits once a day, one thirtieth at a time, at the price of the services your own accounts serve that day. Card payments are charged by Lomray Software LLC as merchant of record through Stripe; an automatic top-up charges your saved card only if you turn it on. You can also pay through @CryptoBot in Telegram with the assets it offers. We announce a price increase in your account and through our bot at least 30 days before it applies to you.
- When your paid time ends. If your credits do not cover the next day, or you turn your plan off, your paid time ends. The assistant keeps working for 7 days. When your plan continues or you turn it on again, the whole days it worked in that time are taken from your credits together with the next day; if it does not continue, you owe nothing for them. Then it is paused and your incoming messages are held. After 30 days paused, we delete your account and its data, keeping only the records described in the Privacy Policy, unless you still hold credits; then your account stays paused until we refund them or you delete it.
- Automatic payments and cancelling. Nothing renews on its own unless you turned it on. While your plan is on, its daily price keeps being taken from your credits until you turn it off. An automatic top-up charges your saved payment method only after you turn it on, for the amount and at the low balance you choose, and you can turn it off at any time. A trial never turns into a charge by itself. You can turn off your plan at any time on the Plan screen of your account, in no more steps than it took to turn it on, and no further day is taken after the day you turn it off. We remind you before a trial ends and before your credits run out.
- Refunds. The Refund and Cancellation Policy says which payments we refund and how.
- Your content. What your assistant stores in your space is yours: your messages, files, notes, recordings and what your connected accounts provide. You give us only the permission we need to store, process, transmit and show it to provide the service to you and to the people you choose, to keep it secure and to meet the law. That permission ends when the content is deleted, except for backups that expire on their own schedule and records the law makes us keep. We do not use your content to train AI models, we do not sell it and we do not use it for advertising.
- Public pages. You are responsible for pages you make public through your assistant. Public pages may not deceive anyone into giving credentials or money, carry malware, impersonate a person or an organization, or carry unlawful content. We may suspend a page after reports and remove it, and may suspend public pages for an account that breaks these rules.
- Your assistant is an AI. It is software, not a person. It can misunderstand you, say things that are not true, miss things, act on outdated information and carry out a request differently from what you meant. Check what matters to you before you rely on it, especially before it sends, calls, books, buys or deletes anything for you. The AI and Autonomy Disclosure explains how it works and where its limits are.
- Your assistant acts for you. It acts on your instructions, on the rules you set and within the access you give it, and you are responsible for what it does that way as if you had done it yourself: the messages it sends, the calls it places, the bookings and purchases it makes, what it does in the accounts and with the keys you connect, and what it does for the people you introduce to it or let talk to it. You are responsible for having the right to give that access and for the costs your connected accounts and keys incur. You can limit or withdraw that access at any time.
- What it does on its own and what it asks. Your own settings decide which kinds of actions your assistant takes on its own, which it tells you about afterwards and which it asks you about first, and you can change them at any time or tell it in your own words. Money moves only on your own tap: your assistant never pays, transfers or orders a paid service with your money unless you tap to approve it or you set a spending permission with its limits. Accepting terms, deleting your account and entering payment details are always done by you. Stopping your assistant does not undo what it has already sent or done.
- Services of others. When your assistant uses Telegram, your email, calendar or bank, online stores or any other service, it does so in your name, under that service's terms, which you are responsible for following. Such services may limit, block or close accounts that are used through automation or an AI assistant, and they can change or stop their features at any time. You connect them at your own risk. We are not responsible for what those services do, for their outages or for a limit, ban or closure they impose, and such a limit is not our breach of these terms.
- Calls and messages to other people. Calls your assistant places for you, including from our shared number, are your calls. Before it calls a person you confirm that they agreed to get the call where the law requires their consent, and you make sure every call is lawful and is not marketing or a sales call without that person's prior consent. You will compensate Lomray Software LLC for claims, fines, penalties and costs, including legal fees, that arise from calls placed on your instructions. We may limit or suspend calling for any account at any time, for example after a complaint. The Call Recording and Telephony Notice sets out the rules for calls, recordings and text messages.
- People you introduce. You may introduce adults to your assistant, such as family members, so that it can help them too. What a person shares about themselves, such as their location or health, reaches your assistant only with that person's own consent given in their own chat or app, and they can withdraw it at any time. You may not use the service to watch or track anyone without their knowledge. The Family and Shared Assistant Consent explains how this works.
- Faces and voices. Features that recognize a face or a voice work only as the Biometric and Voice Notice describes and only with the consent it requires. Your assistant does not identify people it has not been introduced to. You may not make your assistant imitate the voice of a real person without that person's written consent.
- Not professional advice. Not an emergency service. Your assistant is not a doctor, lawyer, financial adviser or therapist, and what it says is not medical, legal, financial or tax advice. Reminders about health or care are reminders, not diagnoses. It cannot call emergency services for you. If you or someone else is in danger, call 911 or your local emergency number. In the United States you can call or text 988 to reach the Suicide and Crisis Lifeline at any time.
- Acceptable use. You follow the Acceptable Use Policy. In short: no unlawful use, no harassment, deception, stalking or secret surveillance, no spam, robocalls or telemarketing, no impersonation, and no attacks on us or on others. We may suspend an account for such use and, where we must, refuse a payment.
- Suspension and termination. You can stop at any time: pause your assistants, turn off your plan or delete your account in its settings. We may suspend or close an account that breaks these terms, puts other people or the service at risk, or where the law requires it; we tell you why unless the law or the safety of others prevents it. The Refund and Cancellation Policy applies to what you have paid. When an account closes, we delete it and its data as the Privacy Policy describes.
- Changes to the service and closing it. We keep the service running with reasonable care and may change or discontinue features. We tell you before a change that removes what you pay for and refund unused credits in that case. If we decide to close the service, we tell you at least 30 days before, keep your data available for export until the end of that time and refund your unused credits.
- Your data when you leave. You can download your files and keep backups of your assistant in storage of your own, and you can ask us at requests@lomray.com for a copy of your data, which we send within 30 days. You can delete your account in its settings at any time.
- Our software and your feedback. The service, its software and its brand belong to us or our licensors. We give you a personal, non-exclusive, non-transferable right to use them under these terms while your account is open. You may not copy, resell or reverse engineer the service except where the law allows it. If you send us ideas or feedback, we may use them without owing you anything.
- Copyright complaints. If you believe content shared through the service infringes your copyright, send a notice to our designated agent, Lomray Software LLC, 7901 4th St N, Ste 300, St. Petersburg, FL 33702, USA, requests@lomray.com, with your contact details, the work, where the content is, a statement of good-faith belief, a statement under penalty of perjury that your notice is accurate and that you are the owner or authorized to act for them, and your signature. A person whose content we remove may send a counter-notice. We close the public pages of repeat infringers.
- Export controls and sanctions. You may not use the service from a country or region under comprehensive United States sanctions, or if you are a person sanctioned by the United States, or on behalf of such a person. We do not accept payments through payment systems or institutions under United States sanctions, and we refuse a payment where sanctions law requires it.
- No warranty. The service is provided as is and as available. To the extent the law allows, we give no warranty that it will be uninterrupted, free of errors or fit for a particular purpose, or that what your assistant says or does will be accurate or complete.
- Limitation of liability. To the extent the law allows, we are not liable for indirect or consequential loss, lost profits, lost data or lost opportunities, or for what your assistant does on your instructions or with the access you give it, and our total liability for all claims is limited to the greater of the amount you paid us in the 12 months before the event that gave rise to the claim and 100 US dollars. Nothing in these terms limits a liability that the law does not allow to be limited.
- Indemnity. You will compensate us for third-party claims, losses and reasonable costs, including legal fees, that arise from your breach of these terms, from your unlawful use of the service, from your content or from what your assistant does on your instructions or with the access you give it, except where our own breach of these terms caused them.
- Resolving a dispute. Before starting arbitration or a court case, write to us at requests@lomray.com with your name, your Telegram account and what you ask for, and we will try in good faith to settle it with you within 60 days.
- Arbitration. If we do not settle it, you and we agree that any dispute about the service or these terms is resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, under the Federal Arbitration Act. The arbitration takes place by video or in the county where you live, or in Florida if you prefer. We pay the fees those rules assign to the business. Either of us may instead bring an individual claim in small claims court, and either of us may ask a court to stop the misuse of intellectual property. If 25 or more similar claims are filed by or with the help of the same lawyers or organization, they are administered in batches as those rules provide for mass arbitration.
- No class actions and no jury. You and we bring claims only individually, not as a plaintiff or member of a class, collective or representative action, and you and we give up the right to a jury trial. If this waiver cannot be enforced for a claim, that claim goes to court, not to arbitration, and the rest of this section still applies.
- Opting out of arbitration. You can opt out of arbitration and the class action waiver within 30 days after you first accept these terms, by writing to requests@lomray.com with your name, your Telegram account and a statement that you opt out. Opting out does not change the rest of these terms.
- Governing law and courts. These terms are governed by the laws of the State of Florida, USA. Its conflict of laws rules do not apply, and the Federal Arbitration Act governs the arbitration section. A dispute that does not go to arbitration is heard by the state or federal courts in Florida, and you and we agree to their jurisdiction. Laws of the place where you live that protect consumers and cannot be set aside by contract still apply to you.
- Changes to these terms. We may change these terms. Each version carries the date shown at the top of this page. We tell you about a material change in your account and through our bot. A new version applies to you once you accept it; until then the version you accepted keeps applying and your assistants keep working, but you create assistants, start a trial, make payments or change your plan only after accepting it. If you do not accept, you can turn off your plan or delete your account, and the Refund and Cancellation Policy applies.
- General. These terms and the documents they include are the whole agreement between us about the service. If a part of them cannot be enforced, the rest still applies. You may not transfer your account or these terms without our consent; we may transfer them to a successor of the service, and we tell you if we do. We are not responsible for delays caused by events beyond our reasonable control. We send notices to your account and through our bot; you send notices to requests@lomray.com.
